Client Terms

These terms are between you (the business owner, "you") and Braun Holdings LLC, an Arizona limited liability company, doing business as Local Listing Tune-Up ("we" or "us"). They are written in plain language on purpose. You agree to them by (a) approving a written quote, (b) paying an invoice, or (c) for a free slot, sending a written email that accepts these terms and confirms your free-slot number. 1. What you get

Delivery times start once we have what we need from you (for example Manager access or your business details). Your written quote (or free-slot confirmation email) lists exactly what is included and is part of these terms.

Free first-10 scope. A free slot covers one Google listing Tune-Up only (scorecard, rewritten description, categories and services, photo checklist, review reply drafts, and a simple 30-day posting plan). Website refresh, rebuilds, monthly care, and extra locations are not included unless we send a separate paid quote. Changes outside that list need a written change note and a new quote before we do them. The prior GRANDOPENING code and founding offer are retired. Free slots also follow the Free Client Addendum; if it conflicts with these terms on a free first-10 Tune-Up, the addendum controls for that free slot only.

2. Payment

One-time paid services are paid in full when you approve your quote, unless the quote says otherwise. Custom website projects may be split 50% to start and 50% before launch. Custom monthly plans are billed as the quote says. Prices are in US dollars and include any sales tax we are required to collect, or list it separately on your invoice. Free first-10 cleanups have no charge for that cleanup; acceptance is by email as stated above.

3. No guarantees on rankings or results

Google, other search engines and AI assistants decide what they show and to whom. We do not control them and do not promise any ranking, number of calls, reviews, leads or sales. We promise careful, accurate work delivered on time.

4. Access, never passwords

Written consent. By accepting these terms you give written consent for us to receive Google Business Profile access as Manager only (never Owner), through Google's own People and access invite to our business Google account. If website work is in scope, you consent to add us by a separate CMS, hosting, or team role invite that you control. You keep ownership of your Google profile, domain, website, photos, logos, and content at all times.

Never passwords. Do not send us a password, one-time code, or recovery info. If one arrives, we will refuse it, ask you to change it, and delete it. Use role invites only.

Revocation. You may remove our access at any time. When the order closes (or earlier if you ask), we will remove or ask you to remove our Manager role and any website seats. We only change what you have approved in writing. You approve and post; we do not publish for you unless a paid quote says otherwise.

5. Reviews

We follow the Federal Trade Commission consumer review rule (16 CFR Part 465) and Google's policies. We never write fake reviews, buy reviews, offer incentives or rewards for reviews, gate or screen reviews (including hiding negative feedback before a public review), or post reviews by employees, owners, or anyone who did not have a real customer experience. We do not stuff keywords into your business name. You agree not to ask us to do any of that. We may draft review replies for your approval; you post them.

6. Your information and content

You confirm that the business details, photos, logos and text you give us are accurate and that you have the right to use them. You are responsible for anything you post or approve. We are not responsible for claims, licenses or offers you add to your listing or website.

Indemnity. You will defend and indemnify Braun Holdings LLC and Local Listing Tune-Up against claims, losses, and reasonable costs (including attorneys' fees) that arise from content, business details, photos, logos, claims, licenses, or offers you supply or approve, or from your breach of these terms or of Google or FTC review rules.

7. Use of AI

We use AI tools to research and draft our work, and we check it before delivery. You review and approve everything before it is posted or goes live.

8. Websites

• You own it. Your domain stays registered in your name. After full payment on a paid website project, you own the website content and files we make for you.
• Hosting. If a custom quote includes hosting, the quote controls. If you leave a care plan that included hosting, we hand over your site files and simple written steps to host them yourself.
• Revisions. Revision rounds are listed in your quote. Extra changes or pages are quoted first.
• Third parties. Domain registrars, hosts and plug-in makers are separate companies. Their fees and outages are outside our control.

9. Monthly plans and cancelling

Custom monthly plans are month to month unless the quote says otherwise. Cancel anytime by email before your next billing date and you will not be charged again. If a quote ties a discount to a minimum term and you cancel early, the quote's early-cancel amount applies.

10. Refunds

If we have not started your paid work, you get a full refund of fees paid for that work. If something we delivered is wrong, we fix it free. After paid work is delivered and approved, payments are not refundable. Free first-10 cleanups have no fee to refund.

11. Limit of liability

AS IS (especially free work). Deliverables are provided AS IS. We do not promise rankings, review volume, calls, sales, AI answers, or any action by Google or other platforms.

To the fullest extent the law allows, our total liability for any claim related to a service is limited to the greater of (a) the fees you paid us for that service, or (b) one hundred US dollars ($100). That $100 floor applies when the fee is $0 (including free first-10 slots). We are not liable for lost profits, lost data, or indirect, incidental, special, or consequential damages, or for actions taken by Google, your host, or other third parties. Some limits may not apply if a court says they cannot; the rest still apply.

12. Confidentiality and data

We keep your business information private and use it only to do your work. We delete working files 90 days after your project ends, except records we must keep for taxes and accounting. See our privacy policy.

13. Independent business

We are an independent contractor, not your employee or agent. We are not affiliated with, endorsed by or a partner of Google.

14. Free slots, testimonials, and references

Consideration. For a free first-10 Google listing Tune-Up, you and we exchange mutual promises: we deliver the free Tune-Up described in Section 1; you (1) give accurate intake information, (2) grant Manager access (or confirm the no-access path), (3) review and approve drafts before posting, and (4) after you approve the work, provide an honest written testimonial in your own words. Those promises are the consideration. No payment is due for that slot.

Testimonial. The testimonial must be honest. We will not script star ratings, require five stars, or tie the free work to a positive public Google review. Declining a public Google review does not undo the free Tune-Up; refusing the agreed written testimonial after approving the work may close your free slot and end further free work.

Case study / reference (optional). We will not use your business name, quote, logo, or before/after results in marketing, a case study, or as a reference unless you give separate written consent (email is enough). You may say yes to the testimonial and no to a public case study.

15. Arizona law

These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Exclusive venue for any dispute is the state or federal courts located in Pima County, Arizona. You consent to personal jurisdiction there.

Do not use any home address for notices. The salon address above is the public notice address until Andy directs a different public mailbox in writing.

17. Other

If part of these terms cannot be enforced, the rest still applies. We may update these terms. Changes apply to new quotes and new free-slot acceptances, not work already approved.
